1. Definitions

In these Terms & Conditions, the following terms have the meanings set out below:

"Service" refers to the AI consulting, implementation, and workshop services offered by kinetras, as described on our website and in individual engagement agreements.

"User" or "You" refers to any individual or organization accessing our website or engaging our services.

"We," "Us," "Our" refers to kinetras, registered at 29/6 Tha Phae Road, Mueang, Chiang Mai 50100, Thailand.

"Agreement" refers to these Terms & Conditions together with any project-specific engagement agreement signed between parties.

"Content" refers to all text, data, models, documentation, and materials provided through our website or during service delivery.

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services. You must be at least 18 years of age and have the legal capacity to enter into this agreement. If you are accessing our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3. Description of Services

kinetras provides AI consulting and implementation services, including AI for healthcare applications, reinforcement learning solutions, and AI communication workshops. Services are delivered according to the scope, timeline, and terms outlined in individual engagement agreements. Service availability may vary by region and project type. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to active clients.

4. User Responsibilities

When using our website or services, you agree to provide accurate and complete information when submitting forms or entering into agreements, use our website and services only for lawful purposes, not to attempt to gain unauthorized access to our systems or data, not to reproduce, distribute, or modify our content without written permission, cooperate in good faith during consulting engagements by providing requested information and access in a timely manner, and comply with all applicable laws and regulations in your jurisdiction.

5. Intellectual Property

All content on our website — including text, graphics, logos, design elements, and software — is the property of kinetras or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and view the content on our website for personal or internal business purposes only.

Deliverables produced during consulting engagements (models, documentation, code) are subject to the intellectual property terms specified in the individual engagement agreement. Unless otherwise agreed in writing, kinetras retains ownership of proprietary methods, frameworks, and tools used across multiple engagements.

6. Payment Terms

Service fees are specified in individual engagement agreements and on our solutions page. All prices are listed in Thai Baht (฿) unless otherwise stated. Payment terms, including deposit requirements, milestone payments, and final invoicing, are outlined in the engagement agreement. Late payments may incur interest at a rate specified in the agreement. We reserve the right to suspend services in the event of non-payment after reasonable notice.

7. Service-Specific Terms

Consulting engagements: Project scope, timelines, and deliverables are defined in individual engagement agreements. Changes to scope require written agreement from both parties and may affect pricing and timeline. kinetras will use reasonable efforts to meet agreed timelines but is not liable for delays caused by circumstances beyond our control or by client delays in providing requested information or access.

Workshops: Workshop scheduling, participant limits, and logistics are agreed upon before the engagement. Cancellation policies are outlined in the engagement agreement. Workshop materials provided are for the use of participating organizations and may not be redistributed without written consent.

8. Disclaimers

Our services are provided on an "as is" basis. While we apply professional diligence and established methods in our work, we do not make representations or warranties regarding specific outcomes, performance improvements, or financial results from AI implementations. AI systems involve inherent uncertainties, and results depend on many factors including data quality, organizational readiness, and external conditions.

Information on our website is intended for general informational purposes and does not constitute professional advice specific to your circumstances. For decisions with significant business or regulatory implications, we recommend consulting with qualified professionals in the relevant field.

9. Limitation of Liability

To the maximum extent permitted by Thai law, kinetras's total liability for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim. In no event shall kinetras be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, regardless of the cause of action or theory of liability.

10. Indemnification

You agree to indemnify and hold kinetras, its officers, employees, and contractors harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of our services in violation of these terms, any breach of your obligations under an engagement agreement, or any violation of applicable laws or third-party rights.

11. Termination

Either party may terminate a consulting engagement in accordance with the terms specified in the individual engagement agreement. In the absence of specific terms, either party may terminate with 30 days written notice. Upon termination, you remain responsible for payment for services rendered up to the termination date. Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification survive termination.

12. Dispute Resolution

These Terms & Conditions are governed by the laws of the Kingdom of Thailand. Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation between the parties. If negotiation does not resolve the dispute within 30 days, the matter may be submitted to mediation under the rules of the Thai Arbitration Institute. The venue for any legal proceedings shall be the courts of Chiang Mai Province, Thailand.

13. General Provisions

These Terms & Conditions, together with any applicable engagement agreement, constitute the entire agreement between you and kinetras regarding the subject matter herein. If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision does not constitute a waiver. You may not assign your rights under these terms without our written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets.

14. Changes to These Terms

We may revise these Terms & Conditions from time to time. Updated terms will be posted on this page with a revised effective date. For active clients, material changes will be communicated directly. Continued use of our website or services after changes take effect constitutes acceptance of the revised terms.
